By accessing or using the Estix website, cloud-based takeoff and estimation platform, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use our Services.

You may need to create an account to access certain features. You agree to provide accurate, current, and complete information and to update it as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You must notify us immediately of any unauthorized use of your account.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You may not:

• Violate any applicable laws or regulations
• Infringe on the intellectual property or other rights of others
• Transmit malware, viruses, or other harmful code
• Attempt to gain unauthorized access to our systems or other accounts
• Use the Services to harass, abuse, or harm others
• Resell or redistribute the Services without our written consent

Paid plans are billed in advance on a subscription basis (monthly or annually). Fees are non-refundable except as required by law or as explicitly stated in our refund policy. We may change our pricing with reasonable notice; continued use after a price change constitutes acceptance.

You are responsible for any taxes applicable to your use of the Services.

Estix and its content, features, functionality, trademarks, and logos are owned by Estix and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of the data and content you upload. By using our Services, you grant us a limited license to process, store, and display your content as necessary to provide the Services. We do not claim ownership of your project data or takeoff information.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICES AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESTIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless Estix and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. You may terminate your account at any time through your account settings.

Upon termination, your right to use the Services ceases immediately. We may retain your data for a limited period as described in our Privacy Policy.

We may modify these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Services.
